4. Client Responsibilities

  • Follow GoHighLevel’s Acceptable Use Policy when applicable
  • Ensure your business communications are lawful and permission-based

You are responsible for complying with jurisdictional regulations such as:

  • Canada’s Anti-Spam Legislation (CASL)
  • GDPR (for EU interactions)
  • TCPA (for SMS in the US)
  • Any applicable privacy or marketing laws

We are not liable for compliance violations resulting from your use of the system.

5. Payment Terms

Payments are processed through Stripe.

By purchasing a service or subscription, you agree:

  • To pay the listed fees or agreed-upon pricing
  • To allow Stripe to store and process your payment information securely
  • All fees are non-refundable unless stated otherwise in writing

For ongoing support or subscription billing:

  • Charges recur automatically until canceled
  • You may cancel future billing at any time
  • Partial-month credits are not provided

If payment fails, services may be paused or terminated.

6. Intellectual Property

Unless otherwise stated:

  • All strategies, automation systems, templates, workflows, documentation, and digital assets created by Padalka Services remain our intellectual property, even when used in your account.
  • You are granted a non-exclusive, non-transferable license to use these assets within your business.

You may not resell, sublicense, or distribute our proprietary systems without written permission.

7. Use of Third-Party Platforms

Our services rely on platforms such as GoHighLevel (GHL) and Stripe.

By using our services, you also agree to their terms, including but not limited to:

  • GHL Terms of Service
  • Stripe Terms of Service

We are not responsible for downtime, errors, or changes made by these platforms.

8. Data & Privacy

We handle personal information according to our Privacy Policy, which forms part of these Terms.

We may access or process data within your GHL account solely for:

  • Providing services
  • Troubleshooting
  • System improvements
  • Support requests

You remain the controller/owner of your customer data.

9. Confidentiality

We treat all client information as confidential and will not disclose it unless:

  • Required by law
  • Needed for service delivery (e.g., with GHL or Stripe as processors)
  • You provide explicit permission

10. No Guarantees or Warranties

Our services are provided “as is” without warranties of any kind.

We do not guarantee:

  • Specific revenue outcomes
  • Lead generation results
  • Client acquisition or business growth
  • 100% error-free operation of any system
  • Continuous uptime of GHL or other third-party tools

You acknowledge that automation systems depend on multiple external factors.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Padalka Services is not liable for indirect, incidental, consequential, or punitive damages.
  • Liability for direct damages is limited to the amount paid for the service in the preceding 30 days.
  • We are not responsible for compliance violations, misconfigured campaigns, SMS/email penalties, or misuse of the tools by the client or their team.

Some jurisdictions do not allow limitations on liability; in such cases, liability is limited to the lowest permitted amount.

12. Termination

We may suspend or terminate services if:

  • Payment is late
  • Terms are violated
  • System misuse occurs
  • Illegal, abusive, or spam-based activity is detected

Upon termination:

  • Access to services may be revoked
  • Outstanding payments remain due

You may stop using our services at any time, but no refunds are issued unless agreed in writing.

13. Governing Law

These Terms are governed by the laws of:

Country of Canada

Any disputes must be resolved in courts located in Saskatchewan, Canada.
